Welcome to Synclocal.ai. These Terms and Conditions ("Terms") govern your use of the website and services provided by Synclocal AI Ltd ("Company," "we," "us," or "our"). By accessing our platform, you agree to be bound by these Terms.
1. Services Provided
Synclocal AI Ltd provides an AI-driven local SEO and data synchronisation platform. We facilitate the management of business listings across various third-party directories ("Third-Party Platforms") using automated tools and artificial intelligence.
2. Eligibility and Registration
You must be at least 18 years of age to use this service.
You must provide accurate and complete information during registration.
You are responsible for maintaining the confidentiality of your account credentials.
3. User Obligations & Data Accuracy
Authority: You warrant that you have the legal authority to manage the business listings you input into the platform.
Review of Content: Our AI generates content (e.g., business descriptions, posts). You are solely responsible for reviewing and approving all AI-generated content before it is published. We are not liable for inaccuracies generated by AI.
Third-Party Credentials: To use the "Sync" features, you may be required to link accounts (e.g., Google Business Profile). You agree to comply with the terms of those specific platforms.
4. Fees, Payments, and Refunds
4.1 Subscriptions: Services are billed in advance on a monthly basis with an option provided for annual billing. Customers may cancel their subscription at any time. Setup fees are non-refundable once installation has begun.
4.2 Refund Policy: We offer a 7-day "No Questions Asked" money-back guarantee for new subscribers. If you are unsatisfied with the service, you must submit a refund request to [email protected] within 14 days of your initial purchase.
4.3 Post-Guarantee Period: After the initial 7-day period, all fees are non-refundable. Cancellations will take effect at the end of the current billing cycle, and no pro-rated refunds will be issued for unused portions of a subscription month or year.
4.4 Chargebacks: Any fraudulent chargebacks or payment disputes will result in the immediate and permanent termination of your account and the "de-syncing" of all managed business listings.
5. Intellectual Property
Our Property: All software, algorithms, logos, and designs on Synclocal.ai are the exclusive property of Synclocal AI Ltd.
Your Property: You retain ownership of the original data you provide. You grant us a worldwide, royalty-free license to use, host, and process this data solely to provide the services.
AI Output: Subject to full payment of fees, you are granted a perpetual, non-exclusive license to use the content generated by our AI for your business purposes.
6. Acceptable Use Policy
You agree not to:
Use the service for any fraudulent or illegal local SEO practices ("keyword stuffing," fake reviews, etc.).
Attempt to reverse-engineer our AI models or scrape data from the platform.
Use the service to distribute spam or malicious content.
7. Limitation of Liability
To the maximum extent permitted by the laws of England and Wales:
No Guarantee of Results: We do not guarantee specific search engine rankings or revenue increases.
Third-Party Actions: We are not responsible for the suspension of your accounts by third-party platforms (e.g., Google, Yelp) resulting from the use of our automated tools.
Indirect Loss: Synclocal AI Ltd shall not be liable for any indirect, incidental, or consequential damages. Our total liability shall not exceed the amount paid by you for the service in the 12 months preceding the claim.
8. Termination
We reserve the right to suspend or terminate your account at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or our business interests.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England.
